Terms of Service

You may use Mars-Cart only if you are legally capable of entering into a binding agreement and are not prohibited from using the services under applicable law.

If you create an account or use Mars-Cart for commercial purposes, you represent and warrant that all information you provide is accurate, current, and complete and that your use of the platform complies with all laws, regulations, contractual obligations, and industry requirements applicable to you.

Mars-Cart may require additional identity, business, tax, banking, compliance, or other information before providing access to particular services.

Certain features require a registered Mars-Cart account. You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account.

• You must provide accurate and complete registration information.
• You must keep your contact, payment, tax, and business information current.
• You must not share credentials in a manner that compromises account security.
• You must promptly notify Mars-Cart if you suspect unauthorized access or misuse of your account.
• You are responsible for the actions of persons you authorize to access your account.

Mars-Cart may implement authentication, verification, security, or access controls intended to protect accounts and the platform.

Mars-Cart provides technology and services intended to support digital commerce, including tools that may enable vendors to manage offers, affiliates to promote eligible offers, customers to complete transactions, and users to review performance information.

Features may include checkout technology, product and offer management, marketplace functionality, affiliate tracking, analytics, reporting, payout-related information, integrations, customer management, and other tools introduced or modified from time to time.

Availability of a particular feature does not guarantee that the feature will be available in every country, for every product category, or for every user.

Vendors are responsible for the products, services, offers, claims, sales materials, customer obligations, and other business activities associated with their use of Mars-Cart.

• Vendors must have the legal right to sell and market all products and services they make available through Mars-Cart.
• Product descriptions, pricing, claims, guarantees, disclosures, and sales materials must be accurate and not misleading.
• Vendors must comply with consumer protection, advertising, intellectual property, privacy, tax, export, sanctions, and other applicable laws.
• Vendors are responsible for fulfillment and delivery obligations applicable to their products and services unless Mars-Cart expressly agrees otherwise in writing.
• Vendors must provide reasonable customer support related to products they sell.
• Vendors must not manipulate transactions, affiliate tracking, refunds, chargebacks, commissions, or performance data.

Mars-Cart may review products, offers, marketing materials, or business activity for compliance and may reject, restrict, suspend, or remove an offer that creates legal, compliance, reputational, payment, fraud, or operational risk.

Affiliates are responsible for how they advertise and promote products and offers made available through Mars-Cart.

• Affiliates must use tracking links and promotional tools in accordance with Mars-Cart rules.
• Affiliates must make any disclosures required by advertising, endorsement, consumer protection, or similar laws.
• Affiliates must not make false, misleading, deceptive, or unsubstantiated claims.
• Affiliates must not impersonate Mars-Cart, a vendor, another affiliate, or another person or organization.
• Affiliates must not use spam, malware, deceptive redirects, unauthorized advertising, cookie stuffing, fraudulent leads, or artificial transactions.
• Affiliates are responsible for compliance with the rules of advertising networks, email providers, social networks, search engines, and other channels they use.

Affiliate approval for one offer does not guarantee approval for other offers. Vendors and Mars-Cart may impose eligibility requirements or promotional restrictions for particular offers.

Customers are responsible for providing accurate information when placing an order and for reviewing product descriptions, pricing, subscription terms, refund terms, and other disclosures presented before purchase.

A transaction may be declined, delayed, reviewed, reversed, refunded, or otherwise restricted when reasonably necessary to address fraud, payment risk, legal requirements, sanctions, regulatory obligations, product restrictions, technical issues, or suspected violations of these Terms.

Product-specific rights and obligations may differ depending on the vendor, product type, customer location, applicable law, and terms disclosed at checkout.

Use of certain Mars-Cart services may be subject to platform fees, transaction fees, payment processing fees, subscription fees, affiliate commissions, reserves, deductions, taxes, currency conversion costs, or other charges disclosed through the applicable account, agreement, pricing schedule, checkout, or service documentation.

Payment timing and payout availability may depend on transaction status, refund periods, chargeback risk, payment provider requirements, compliance review, reserve requirements, customer disputes, and other operational factors.

Mars-Cart may withhold, delay, offset, or adjust amounts where reasonably necessary to address refunds, reversals, disputes, chargebacks, suspected fraud, negative balances, contractual obligations, legal requirements, or amounts otherwise owed.

Refund, return, cancellation, and withdrawal rights may vary depending on the product, vendor, transaction type, customer location, applicable law, and policy displayed at the time of purchase.

Customers should review the refund or cancellation terms associated with a product before completing a purchase. Where applicable law provides mandatory refund, withdrawal, or cancellation rights, those rights will apply notwithstanding inconsistent contractual language.

Vendors and affiliates acknowledge that refunds, reversals, cancellations, and chargebacks may affect sales proceeds, commissions, balances, reserves, and payouts.

Fraudulent, abusive, or excessive refund or chargeback activity may result in investigation, restriction, reserve requirements, suspension, or termination.

You may not use Mars-Cart in a manner that is unlawful, deceptive, abusive, harmful, fraudulent, infringing, or inconsistent with platform policies.

• Illegal products, services, transactions, or activities.
• Fraud, money laundering, terrorist financing, sanctions evasion, or other financial crime.
• False identities, fabricated transactions, manipulated conversions, or fraudulent commissions.
• Intellectual property infringement or unauthorized use of another party's content or brand.
• Malware, phishing, credential theft, unauthorized access, or interference with platform security.
• Spam, deceptive marketing, misleading claims, or unlawful advertising practices.
• Products or services that Mars-Cart or its payment partners classify as prohibited or unacceptably high risk.
• Attempts to circumvent account restrictions, reserves, compliance reviews, technical controls, or enforcement actions.
• Activities that expose Mars-Cart, its users, payment providers, or partners to unreasonable legal, financial, regulatory, reputational, or security risk.

Mars-Cart may maintain additional acceptable-use, prohibited-products, payment, marketplace, or compliance policies that supplement this section.

Mars-Cart and its licensors retain all rights in the Mars-Cart platform, software, interfaces, designs, trademarks, branding, documentation, databases, and other materials owned or licensed by Mars-Cart.

Except as expressly permitted, you may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, scrape, extract, create derivative works from, or otherwise exploit Mars-Cart technology or proprietary materials.

You retain ownership of Content you submit to Mars-Cart, subject to the rights necessary for Mars-Cart to host, process, display, transmit, distribute, analyze, and otherwise use that Content to operate, secure, improve, and provide the services.

You represent that you have all rights, licenses, permissions, and consents necessary to submit and use your Content through Mars-Cart.

Use of Mars-Cart may involve the collection and processing of account information, transaction information, customer information, device data, analytics, payment-related information, and other data necessary to provide and secure the services.

Mars-Cart's handling of personal information is governed by its Privacy Policy and other applicable privacy disclosures.

Vendors and affiliates are independently responsible for complying with privacy, direct marketing, cookie, consent, data protection, and information-security obligations applicable to their own activities.

Mars-Cart may rely on or integrate with payment processors, financial institutions, analytics providers, hosting providers, advertising platforms, fulfillment providers, identity-verification providers, communications services, and other third parties.

Third-party products and services may be governed by separate terms and privacy policies. Mars-Cart does not control every third-party service and is not responsible for third-party acts or omissions except to the extent required by applicable law.

Availability or integration with a third-party service does not constitute a guarantee or endorsement of that service.

Mars-Cart may review account activity, transactions, products, promotional materials, traffic sources, identity information, business information, and other activity when reasonably necessary for security, fraud prevention, compliance, payment risk, platform integrity, or enforcement.

Users may be required to provide documentation or information supporting identity, business ownership, transaction legitimacy, product rights, fulfillment, advertising claims, tax status, source of funds, or other relevant matters.

Failure to provide requested information may result in limitations, delayed payouts, offer removal, account suspension, or termination.

You may stop using Mars-Cart at any time, subject to outstanding obligations, pending transactions, reserves, subscriptions, disputes, or other amounts that remain due.

Mars-Cart may restrict, suspend, or terminate access to some or all services if it reasonably believes that:

• You violated these Terms or another applicable policy.
• Your account presents fraud, security, legal, payment, regulatory, or reputational risk.
• Required information is inaccurate, incomplete, or cannot be verified.
• Your activity may harm customers, vendors, affiliates, Mars-Cart, or third parties.
• Suspension or termination is required by law, regulation, court order, payment provider, financial institution, or other authorized party.

Termination does not eliminate obligations that arose before termination, including payment, refund, chargeback, confidentiality, intellectual property, indemnification, or dispute obligations.

Mars-Cart provides technology and services intended to support commerce and performance marketing. Results vary and depend on many factors outside Mars-Cart's control.

Mars-Cart does not guarantee sales, revenue, conversion rates, affiliate earnings, profitability, traffic, customer acquisition, marketplace acceptance, payment approval, or any other specific business result.

To the maximum extent permitted by applicable law, Mars-Cart and its officers, directors, employees, affiliates, licensors, service providers, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from or related to use of the services.

Any aggregate liability cap should be stated here based on Mars-Cart's final commercial structure and governing law.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Mars-Cart and its affiliates, officers, directors, employees, service providers, and agents from claims, losses, liabilities, damages, judgments, penalties, costs, and expenses arising from or relating to:

• Your violation of these Terms or applicable law.
• Your products, services, Content, offers, advertising, or promotional activity.
• Your infringement or alleged infringement of another party's rights.
• Customer claims relating to products or services for which you are responsible.
• Your misuse of Mars-Cart or fraudulent, negligent, or wrongful conduct.

Mars-Cart may modify, add, suspend, or discontinue features of the platform from time to time. Changes may be made for product, security, legal, regulatory, payment, operational, or commercial reasons.

Mars-Cart may also update these Terms. When changes are material, reasonable notice should be provided in accordance with applicable law and the methods selected by Mars-Cart.

Continued use of the services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

The governing law, jurisdiction, venue, arbitration requirements, class-action provisions, informal dispute procedures, and other dispute-resolution provisions applicable to these Terms must reflect the legal entity that operates Mars-Cart and the jurisdictions in which it conducts business.

Entire Agreement

These Terms, together with policies, supplemental agreements, pricing terms, product-specific conditions, and other documents expressly incorporated by reference, constitute the agreement governing your use of the applicable Mars-Cart services.

Severability

If any provision is held invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

No Waiver

Failure to enforce a provision does not constitute a waiver of that provision or any other right.

Assignment

You may not assign or transfer your rights or obligations under these Terms without prior authorization where required. Mars-Cart may assign its rights or obligations in connection with a merger, acquisition, restructuring, sale of assets, or other lawful business transaction, subject to applicable law.

Electronic Communications

Where permitted by law, you consent to receiving agreements, notices, disclosures, and other communications electronically.

Survival

Provisions that by their nature should survive termination will continue to apply after your use of Mars-Cart ends.
